BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

1. Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Dataciter is an AI search optimization platform that provides the following services:

Website analysis and AI-readiness audits
Generation of llms.txt files and JSON-LD structured data
Brand fact card creation
AI citation monitoring and tracking
Content optimization recommendations
Implementation guidance for various website platforms

The Service is designed to help businesses improve their visibility in AI-powered search engines and assistants. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

You retain all ownership rights to the content you submit to the Service, including website URLs, business information, and other materials (“User Content”). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze such content solely for the purpose of providing the Service to you.

5.3 Generated Materials

Files and materials generated by the Service specifically for your use (including llms.txt files, JSON-LD schemas, and brand fact cards) are owned by you upon generation. However, we retain ownership of any underlying algorithms, methodologies, and templates used to create such materials.

6. Payment Terms

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to:

Pay all fees associated with your selected plan
Provide accurate and complete billing information
Authorize us to charge your payment method on a recurring basis

All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change our pricing at any time, with notice provided to existing subscribers before the next billing cycle.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
The results obtained from the Service will be accurate or reliable
The Service will meet your specific requirements or expectations
Any errors in the Service will be corrected

AI Search Results Disclaimer: We do not guarantee any specific outcomes regarding your visibility in AI-powered search engines or assistants. AI systems are operated by third parties and are subject to change without notice. Results may vary based on numerous factors beyond our control.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GROUNDING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to access or use) the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless GROUNDING LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Any content you submit to the Service

10. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

Your right to use the Service will immediately cease
We may delete your account and any associated data
Any provisions of these Terms that by their nature should survive termination shall survive

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, the dispute shall be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in such courts.

11.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS RELATING TO THESE TERMS OR THE SERVICE WILL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GROUNDING LLC regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
